UK off-trade group Conviviality Retail is to take full ownership of Matthew Clark after owners Accolade Wines and Punch Taverns agreed to a GBP200m (US$300m) sale.

Conviviality said Matthew Clark, the UK's biggest on-trade distributor, will complement its off-trade business and help it expand into new markets. The deal is expected to close in October.

Matthew Clark is a joint venture between Accolade and Punch, and both companies will receive GBP100m for their half share.

Conviviality, which owns Bargain Booze and Wine Rack, opened talks with Matthew Clark over a possible acquisition in July. In August, it entered into a 'non-disposal undertaking' with Accolade and Punch.

Matthew Clark will continue to distribute Accolade products in the UK on-trade after the two companies signed a ten-year contract as part of the Conviviality agreement, Accolade said.

The company is by far the largest independent distributor to the UK on-trade drinks sector, delivering to about 17,000 on-trade premises each year, according to Accolade. In the year to February, it delivered over 48m bottles of wine, 22m bottles of spirits, 171m pints of beer and 16m bottles of cider.
