Coca-Cola Co. is set to exchange bottling assets with Embotelladora Andina in Brazil.

According to a filing with the Securities and Exchange Commission, Andina has agreed to acquire 100% of the stock of Nova Iguacu Co., which, upon completion, will own all of the assets currently used for the operations of Companhia Mineira de Refrescos SA as an authorised bottler of Coca-Cola Industrias Ltda. in the Brazilian territory of Nova Iguacu.

In return, the Coca-Cola unit, Recofarma Industria Do Amazonas Ltda., will acquire 100% of the shares of Governador Valadares Co., which will own all of the assets currently used for Recofarma Industria Do Amazonas Ltda.'s operations as an authorised bottler of Coca-Cola Industrias Ltda. in the territory of Governador Valadares in Brazil.

Andina would also transfer US$15.5m to Governador Valadares under the deal, the filing said.
