In February 2010, Coca-Cola Company reached agreement with Coca-Cola Enterprises (CCE) to acquire the latter's operations in North America. CCE stood the dominant Coke bottler in the United States, producing and distributing about 75% of Coke's U.S. volume.
- In an attempt to minimize the transfer of cash and its concomitant tax burden, Coca-Cola Company - which spun off CCE in 1986 - agreed to relinquish its 34% equity in CCE, which was valued at $3.4 billion. Coke also agreed to assume $8.88 billion in CCE debt as well as CCE's $580 million in accumulated benefits obligations.
- Coca-Cola Company had considered acquiring CCE several years ago, but its board rejected the idea. The parties began talks about a possible transaction in late 2008 - before PepsiCo announced its acquisition of Pepsi Bottling Group (PBG) and PepsiAmericas. Coke hid its intentions from public scrutiny - appearing to be satisfied with the current relationship with CCE - but behind the scenes, Pepsi's announcement (discussed below) most likely motivated Coke and CCE to consummate a deal despite talks breaking down a couple of times in 2009.
- Coke chairman and CEO Muhtar Kent explained, "Our North American business structure has remained essentially the same since CCE was founded in 1986, while the market and industry have changed dramatically." In other words, the same rationales that influenced PepsiCo's decision to acquire its two biggest bottlers also informed Coke's decision: most importantly, a shift in the beverage landscape from CSDs to non-carbonated beverages and the need to develop more cost-effective ways to deliver drinks in an era of retailer consolidation.
- Coca-Cola Company's purchase of CCE's principal operations does not constitute an outright acquisition, as chairman and CEO Kent was quick to point out. As stated by Kent: "We are not acquiring CCE, rather we are acquiring their North American operations, and they remain one of our key bottling partners with world-class management, financial and operational capabilities."
- According to analysts, Coke was dissatisfied with CCE's performance in North America. It is thus taking over the North American bottling assets in order to get them into shape for an eventual sale to Coca-Cola FEMSA or other system bottler.
- To integrate the acquisition of CCE's North American business closes, Coke devised changes to its corporate structure, including the creation of the Coca-Cola Refreshments USA subsidiary to complement Coca-Cola North America's marketing and franchise support operation.
